Terms of Service

These Terms of Service (the “Terms”) constitute a legally binding agreement between you (“you” or “User”) and Kolar Labs(“Kolar Labs,” “we,” “our,” or “us”), governing your access to and use of (i) the website located at piratecrew.fun and any sub‑domains thereof, (ii) the Pirate’s Compass browser extension, and (iii) any other products or services that link to, or expressly incorporate, these Terms (collectively, the “Platform”). By accessing or using any part of the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy (https://docs.piratecrew.fun/privacy-policy), which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Platform.

1. Eligibility & Geographic Restrictions

1.1 Minimum Age. You must be at least 18 years old to access or use the Platform.

1.2 Excluded Jurisdictions. Access to any sale, purchase, or distribution of digital assets on the Platform is prohibited for (a) residents, citizens, or persons located in the United States of America or the Republic of Panama, and (b) any location where such use would violate law (collectively, “Restricted Territories”).

1.3 Sanctions Status. You represent that you are not subject to any economic sanctions or on any sanctions list. Kolar Labs holds the rights to screen wallets and restrict access as necessary to be compliant.

2. Blockchain Wallet & Non‑Custody Statement

You must connect a non‑custodial wallet to interact with on‑chain components. You alone control the private keys. Losing your keys or seed phrase is irreversible and will result in permanent loss of assets.

Kolar Labs at no point holds, controls, or has access to your private keys or funds; all transactions occur directly on the Solana blockchain via open‑source smart contracts.

3. Platform Description

3.1 Mini‑Games & Gold Points

Browser‑based games award on‑chain Gold Points for in‑game actions. Gold Points have no monetary value, are non‑transferable, and cannot be traded or exchanged for currency or tokens.

3.2 AI Agents

Proprietary, non‑fungible AI characters purchasable in‑app; utility confined to gameplay.

3.3 Secondary NFT Trading

Kolar Labs does not operate a marketplace; users may trade AI Agents on third‑party Solana marketplaces at their own risk. Royalty fees apply to each resale.

3.4 $GOLD Presale Service

Participants may contribute SOL, USDC, or USDT on Solana, or ETH, USDC, or USDT on any EVM‑compatible chain to signal interest in accessing platform features. These contributions are acknowledged with a non‑financial game token ($GOLD) and constitute a service fee for deploying and minting tokens on your behalf. $GOLD is not a security, investment contract, or financial product and is offered only outside Restricted Territories. $GOLD functions as the Platform’s platform utility token: it can be used—but is not required—to interact with Crew‑Coin bonding curves and carries no promise of value appreciation. Holders may lock $GOLD for variable durations ("vote‑escrow" model) to obtain in‑game utility; locked $GOLD ("veGOLD") is non‑transferable until unlock and confers no dividend or return rights. Kolar Labs promises only that $GOLD will be delivered at a value no lower than the presale reference price; we make no promise of future appreciation.

3.5 $GOLD Airdrops

Users who qualify based on on‑chain Gold Points may claim airdrop allocations. Allocations derive solely from Gold Points (engagement and activity) and not from any purchase. Gold Points may contribute to future in‑game rewards or token drops; all distributions are discretionary and never guaranteed.

3.6 Crew Coins

Users may team up to form “Crews” and launch an optional, fungible Crew Coin collectible. Crew Coins are not securities and are available only outside Restricted Territories.

3.7 Issuer Status & Open‑Source Code

Crew Coins are created by decentralized smart contracts. The bonding‑curve contracts are open‑source, immutable, and permissionless; Kolar Labs cannot modify or reverse them and does not custody assets. Kolar Labs is not the issuer or guarantor of any Crew Coin.

3.8 Loot, Raid & Treasure‑Hunt Games

The Platform may host skill‑based competitions—including bounty, megabounty, raid, and an optional “USD 1 million treasure hunt”—rewarding participants based on total Gold Points. Any prize pool is contingent on Kolar Labs’ available funds and may change or be cancelled. Prizes, if issued, will be paid in SOL or USDC. Kolar Labs may verify scores and disqualify fraud.

4. Compliance, Screening & KYC

The Platform is non‑custodial and currently no‑KYC. We reserve the right to require KYC if legally compelled.

5. Fees & Payment

5.1 Royalties

On‑chain royalty fee on each AI Agent resale is routed to Kolar Labs.

5.2 In‑App Purchases

Prices are disclosed at sale; all sales are final and non‑refundable.

5.3 Presale Payments

By participating in the presale, you acknowledge your digital‑asset contribution (SOL, USDC, USDT, or ETH) is a service fee for minting services, and $GOLD is a platform utility token, not sold for investment purposes. $GOLD will always be delivered at a value not below the presale reference price. Contributions are otherwise irrevocable and non‑refundable and no refunds are provided for losses due to hacks, exploits, network outages, regulatory actions, or other force‑majeure events.

5.4 Network Fees

You bear all Solana/EVM network fees.

5.5 Bonding‑Curve & Liquidity Fees

Kolar Labs charges protocol fees on bonding‑curve trades and may collect LP fees on post‑launch pools.

6. Acceptable Use Policy

You agree not to: (a) post unlawful, hateful, or infringing content; (b) engage in spam, market manipulation, or phishing; (c) impersonate others; (d) attempt to circumvent geo‑blocks or sanctions screening; or (e) disrupt the Platform. Violations may lead to suspension or termination.

7. DMCA / Copyright

Copyright owners may send notices to dmca@piratecrew.fun with subject “DMCA Notice” including 17 U.S.C. § 512(c)(3) information.

8. Third‑Party Links & Integrations

Kolar Labs is not responsible for third‑party sites, smart contracts, or tokens linked via the Platform.

9. Responsible Disclosure & Bug Bounty

Report vulnerabilities privately to security@piratecrew.fun; rewards are discretionary.

10. Feedback

Any suggestions you provide are non‑confidential and may be used by Kolar Labs without compensation.

11. Service Availability & Modifications

We may modify, suspend, or discontinue the Platform at any time without liability.

12. Risks & Disclaimers

12.1 Volatility. Digital assets may lose all value.

12.2 No Advice. Nothing on the Platform is financial, legal, or tax advice.

12.3 Experimental Tech. Smart contracts may contain bugs.

12.4 Presale Risk. Presale service contributions are irrevocable; airdrop timing and amounts remain discretionary.

12.5 Crew Coin Risk. Many Crew Coins are experimental collectibles with no intrinsic utility; spend only what you can afford to lose.

15. Limitation of Liability

Kolar Labs’ total liability is limited to the greater of US $1 or the amount you paid to Kolar Labs.

16. Indemnification

You will indemnify Kolar Labs from claims arising out of your breach or misuse of the Platform.

17. Governing Law; Arbitration; Class‑Action Waiver

Panamanian law governs. Disputes resolved by binding arbitration in Panama City. Class actions and jury trials are waived.

18. Amendments

We may amend these Terms at any time; changes are effective immediately upon posting.

19. Termination

We may suspend or terminate your access at our sole discretion without notice.

20. Force Majeure

No liability for delays caused by events beyond our control.

21. Assignment

You may not assign these Terms; Kolar Labs may assign without restriction.

22. Severability

If any provision is unenforceable, the remainder will remain in effect.

23. Entire Agreement

These Terms constitute the entire agreement between you and Kolar Labs.
